No Guarantee of Results
While we work diligently to deliver high-quality automations, we do not guarantee specific business outcomes, revenue increases, or performance metrics. Results will vary depending on the client's existing systems, data quality, and business context.
Third-Party Tools
Our services may involve the use of third-party platforms including AI platforms, automation software, and cloud services. We are not responsible for the performance, availability, or changes to third-party services. Clients are responsible for maintaining their own accounts and licences with any third-party tools required for delivery.
4. Discovery Calls and Bookings
Booking a discovery call via our scheduling tool does not constitute a contract for services. It is an exploratory conversation with no obligation on either party. A formal engagement begins only when both parties have agreed to a written proposal or service agreement.
5. Fees and Payment
Fees for services will be set out in individual client agreements. Unless otherwise agreed in writing:
- Invoices are due within 14 days of the invoice date
- Late payments may incur interest at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998
- We reserve the right to suspend work on any project where invoices remain unpaid beyond the agreed payment terms
6. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This obligation survives the termination of any service agreement. Neither party will disclose the other's confidential information to third parties without prior written consent, except where required by law.
7. Limitation of Liability
Cap on Liability
To the fullest extent permitted by law, Apex Labs' total liability to you for any claim arising out of or in connection with the website or our services shall not exceed the total fees paid by you to Apex Labs in the three months preceding the claim.
Excluded Losses
We shall not be liable for any indirect, incidental, special, consequential, or punitive losses — including loss of profits, loss of data, loss of business, or loss of goodwill — even if we have been advised of the possibility of such losses.
Exceptions
Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable UK law.

Arbitration
If the dispute cannot be resolved informally, it shall be referred to and finally resolved by arbitration in London, United Kingdom, conducted in the English language.
Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute that cannot be resolved through arbitration.
